Constitution of the Association for Modern German Studies
(following the AGM of 8 December
2004)
1. Name
The name of the Association is ASSOCIATION for MODERN GERMAN STUDIES.
2. Object
The object of the Association is to provide a forum
for all teachers and other persons interested in the society and
culture of the German-speaking countries, to bridge the gap between
institutions where German is taught at secondary and tertiary level
and to promote co-operation with organisations representing the German-speaking
countries.
3. Panel Members
Members of the Panel will perform the following functions: Convenor, Deputy Convenor, Secretary, Treasurer, Membership Secretary, Website / Flyer Co-ordinator, Editor for GfL, Reviews Editor for GfL, Gisela Shaw Prize Co-ordinator. The Panel shall also have the right to co-opt. The Panel should include representatives from schools, universities and other educational institutions. A new Panel shall be elected at each Annual General Meeting of the Association, but retiring members of the Panel shall be eligible for re-election. Any vacancy in the panel shall be filled temporarily through co-option by the Panel, pending resolution by the Annual General Meeting. New members to the panel may join for one year without any duty after which they will take over / share an existing role or take on a new one if such should arise.
4. Annual General Meeting
An Annual General Meeting of the Association will be held once a year and every member shall receive no less than 28 days’ notice of such a meeting.
5. Special Meetings
Special Meetings may be convened by the Secretary
upon a request by the Panel or 15 members upon a similar notice which
shall state the business to be considered at the meeting.
6. Votes
At the Annual General Meeting, every member, including
the Convenor, shall have one vote and in the case of equality of
votes, the Convenor shall have a second or casting vote.
7. Panel Meetings
The Panel shall meet as required and the Convenor
of the Association shall preside at such meetings. Each member, including
the Convenor, shall have one vote and in the case of equality of
votes, the Convenor shall have a second or casting vote.
8. Membership
Membership is open to any person who applies and pays
the annual subscription. Rates of Membership shall be agreed at the
Annual General Meeting.
9. Banking Account
All sums of money collected shall be handed over to
the Treasurer who shall pay the same into a bank account on behalf
of the Association at a bank or building society. Cheques shall be
signed by either of two Panel Members approved by the Panel.
10. Investment
Any money not required for the immediate purpose of
the Association shall be invested in a deposit savings account and
the Treasurer shall have the power from time to time to transfer
such investments.
11. Alteration of Rules
These rules may be altered, repealed or added to by resolution passed by two-thirds majority of members of the Association who are present in person at the Annual General meeting or a Special Meeting convened for that purpose and of which notice has been served upon every member of the Association at his/her last known address.
12. Dissolution
In the event of the Association dissolving or winding
up, any assets remaining after all debt and reliabilities have been
satisfied, shall be applied to or for some charitable purpose or
purposes, preferably a purpose connected with the objects of the
Association, at the discretion of the Panel.
